Situation

Rysher Entertainment was a wholly-owned subsidiary of Cox Communications that was engaged in the production and distribution of feature film and television titles from 1991 through 2001.

Rysher engaged in the feature film business primarily through a co-production arrangement with Paramount, through which it invested in the films The Saint, Escape from L.A. and Primal Fear, among others.

Paramount retained all distribution rights worldwide for the pictures.

Rysher also engaged in the television production and distribution business and was involved in several prominent shows such as Sex and the City, Nash Bridges, Highlander and others.

In 1999, Rysher eliminated its distribution division and entered into a worldwide distribution arrangement with Paramount concerning all of its entertainment properties.

Salem Partners' Role

In 2001, Salem Partners advised Mark Cuban and Todd Wagner of Broadcast.com in their acquisition of Rysher.

From 2001 through 2005, Salem Partners performed regular valuations of the film and television assets of Rysher.

In October 2005, Salem Partners was engaged by Messrs. Cuban and Wagner to explore a potential divestiture of the business.

Salem Partners conducted a competitive sale process, obtained multiple offers for the asset within 6 weeks of going to market and successfully closed the transaction in March 2006.
