Situation

Crown Media Holdings, Inc. is a publicly-traded diversified entertainment company that owns and operates cable networks, including The Hallmark Channel and The Hallmark Movie Channel.  Following a comprehensive strategic review, management chose to divest certain non-core assets, including the company's library of film and television titles.

The Crown Media library consisted of approximately 620 titles, representing approximately 2,900 hours of programming.  A large number of the titles are high-quality miniseries and made-for-television movies, the majority of which were debuted on major television networks.  The family-friendly content of the Crown Media library has historically been licensed to cable networks such as Lifetime, WE, Oxygen and others looking for high-quality and cost-effective content.

Crown Media retained Salem Partners due to our leading entertainment investment banking franchise, experience with and knowledge of the assets of the library, strong relationships with potential financial and strategic buyers and our superior execution ability.

Salem Partners conducted a competitive process and worked closely with management to identify potential investors, prepare marketing materials and coordinate meetings.  Additionally, Salem Partners played an active role in facilitating due diligence, negotiating the transaction and rapidly driving the transaction to a close.
